Terms of Use

Preamble

These Terms of Use (hereinafter "TOU") are published by Blaiz, a micro-enterprise registered with the Bordeaux Trade Registry under SIREN number 991087347, with its registered office at 70 rue de Macau, 33000 Bordeaux, France (hereinafter "Blaiz" or "the Provider").

These TOU govern access to and use of the Blaiz web platform (accessible at blaiz.eu) and all associated services (hereinafter "the Service").

Use of the Service is subject to prior, express and unreserved acceptance of these TOU. Any use of the Service constitutes full acceptance of the TOU in force.

Article 1 — Definitions

For the purposes of these TOU, the following terms have the meanings set out below:

  • "Service": refers to the Blaiz SaaS web platform enabling the creation, configuration and execution of automated AI agents.
  • "AI Agent": refers to an autonomous program configured by the User through the Service, executing automated tasks according to predefined rules and using language models (LLMs).
  • "Credits": refers to the consumption units purchased by the User and debited for each action performed by an AI Agent.
  • "User": refers to any natural or legal person who has created an Account on the Service.
  • "Account": refers to the User's personal space, protected by login credentials, providing access to the Service.
  • "Third-Party Services": refers to external applications and platforms (Gmail, Outlook, Notion, Slack, HubSpot, etc.) to which AI Agents can connect via OAuth or API.
  • "Configuration": refers to all parameters, rules, workflows and integrations defined by the User for an AI Agent.
  • "Generated Content": refers to any result, classification, notification, action or data produced by an AI Agent.
  • "Data": refers to all personal and professional information processed by the Service on behalf of the User.

Article 2 — Purpose and scope

These TOU define the conditions under which the User may access and use the Service. They apply to all Users of the Service, without exception.

The TOU are separate from the Terms of Sale (TOS) which govern the commercial and financial aspects of the contractual relationship. In the event of a conflict between the TOU and the TOS, the TOS shall prevail for commercial matters.

Article 3 — Acceptance of terms

Acceptance of these TOU is confirmed by ticking the checkbox during Account creation. This acceptance constitutes a legally binding agreement between the User and Blaiz.

The User declares that they have the legal capacity required to enter into these TOU. If the User is acting on behalf of a legal entity, they declare that they have the authority to bind that entity.

The User acknowledges having read and understood these TOU in their entirety before accepting them.

Article 4 — Registration and account

Access to the Service requires creating an Account via the registration form available on blaiz.eu. The User must provide accurate, complete and up-to-date information.

The Service is exclusively intended for professional use (B2B). The User declares that they are acting within the scope of their professional activity.

The User is solely responsible for the confidentiality of their login credentials and for all activity carried out from their Account. They undertake to notify Blaiz immediately of any unauthorized access.

Only one Account is authorized per company. Multiple users can be linked to the same Account through the team management system.

Article 5 — Description of the Service

Blaiz is a SaaS (Software as a Service) web platform enabling businesses to create and manage automated AI agents through a no-code interface. The Service includes:

  • Creating and configuring AI agents via a conversational interface or predefined templates
  • Automated execution of agents in isolated Docker containers
  • Integration with over 35 third-party services (email, CRM, task management, ERP, etc.)
  • A management and observability dashboard

Article 6 — Credits system

Use of the Service is based on a credits system. Credits are purchased through the secure Stripe payment platform and are debited for each action performed by an AI Agent.

Purchased credits are non-refundable, unless otherwise required by applicable law. The available credit balance can be viewed at any time from the dashboard.

Credits do not expire. However, in the event of Account termination, remaining credits are forfeited in accordance with Article 17.

Blaiz reserves the right to modify the credit cost of various actions, subject to 30 days' notice by email.

Article 7 — AI Agents — Limitations and warnings

The User expressly acknowledges and accepts the following limitations inherent to artificial intelligence technology:

  • Language models (LLMs) used by AI Agents may produce erroneous, inaccurate or inconsistent results ("hallucinations"). No guarantee of accuracy is provided.
  • Automatic classification of emails and documents may be incorrect. The User must systematically verify results before acting on them.
  • Automated actions (sending notifications, creating tasks, modifications in third-party services) may have unforeseen and potentially harmful consequences.
  • Blaiz provides automation tools, not legal, accounting, financial or professional advice of any kind.
  • AI Agent performance may vary depending on the quality of input data, task complexity and third-party service availability.
  • The User is solely responsible for supervising AI Agents and validating all Generated Content before use.

By using the Service, the User accepts these limitations. In accordance with the European AI Act (Regulation 2024/1689), Blaiz is committed to transparency regarding AI use and recommends systematic human supervision of results produced by AI Agents.

Article 8 — User obligations

8.1 General obligations

  • The User undertakes to use the Service in compliance with applicable laws and regulations, including GDPR.
  • The User warrants that the data processed through the Service is collected and used lawfully.
  • The User undertakes to actively supervise the operation of their AI Agents and verify their results.
  • The User is responsible for compliance with applicable regulations regarding data processed by their AI Agents, including third-party personal data.

8.2 Active supervision obligation

  • The User undertakes to regularly verify the results and actions of their AI Agents. They must not fully delegate to an AI Agent decisions with significant impact without human oversight.
  • The User undertakes to immediately deactivate any AI Agent whose operation proves defective or harmful.

Article 9 — Prohibited uses

The User shall not use the Service to:

  • Produce, store or distribute illegal, defamatory, discriminatory, pornographic content or content harmful to public order
  • Send unsolicited communications (spam) through messaging or notification integrations
  • Harass, threaten or harm third parties through automated AI Agent actions
  • Attempt to circumvent security measures, access other users' data or compromise the integrity of the Service
  • Reverse engineer, decompile or disassemble the Blaiz software, or attempt to extract the source code
  • Generate excessive load on the Service infrastructure, or use the Service for competitive espionage

Article 10 — Third-party integrations and services

The Service allows the User to connect their AI Agents to third-party services (Gmail, Outlook, Notion, Slack, HubSpot, etc.) via the OAuth protocol or API keys. By authorizing these connections, the User assumes full responsibility for the access granted to data from these services.

Blaiz is not responsible for malfunctions, interruptions or changes to third-party services (Gmail outages, Notion API changes, etc.). The User acknowledges that the proper functioning of AI Agents depends on the availability of these third-party services.

The User provides their own credentials and authorizations for third-party services. Blaiz does not store third-party service passwords; only OAuth tokens are retained and automatically renewed.

Article 11 — Intellectual property

The entire Blaiz Service, including its source code, interface, documentation, trademarks and graphic elements, is the exclusive property of Blaiz and is protected by intellectual property law.

The User retains full ownership of their Data, Configurations and Generated Content. By using the Service, the User grants Blaiz a limited, non-exclusive and revocable license to use, strictly necessary for the provision of the Service.

Subscribing to the Service grants the User a non-exclusive, non-transferable and non-sublicensable right to use the Service, limited to the duration of their active Account.

Article 12 — Data protection

The processing of personal data is governed by our Privacy Policy, available at: Privacy Policy.

In the context of using the Service, Blaiz acts as a data processor within the meaning of the GDPR. The User acts as the data controller for the personal data they process through their AI Agents.

In accordance with GDPR Article 28, Blaiz undertakes to: (a) process personal data only on documented instructions from the User; (b) ensure confidentiality of processed data; (c) implement appropriate technical and organizational security measures; (d) not engage any sub-processor without prior authorization; (e) assist the User in fulfilling data subject rights; (f) notify the User of any data breach within 48 hours. Our current sub-processors are: Supabase (database), Stripe (payments), Vercel (hosting), Mistral (AI inference), Anthropic (agent creation assistant). A detailed Data Processing Agreement (DPA) is available on request.

Article 13 — Service availability

Blaiz strives to maintain the Service available 24 hours a day, 7 days a week. However, the Service is provided on a best-efforts basis and not as a guaranteed obligation. No guaranteed Service Level Agreement (SLA) is included, unless separately agreed in writing.

Blaiz reserves the right to temporarily interrupt the Service for maintenance, updates or improvements. The User will be informed, where possible, of any scheduled interruption.

Article 14 — Limitation of liability

14.1 Liability cap

Blaiz's total liability, from all causes combined, is limited to the total amount of credits purchased by the User during the twelve (12) months preceding the event giving rise to the claim. This limitation does not apply in cases of gross negligence, willful misconduct, breach of an essential contractual obligation or bodily injury.

14.2 Exclusion of indirect damages

Under no circumstances shall Blaiz be held liable for indirect damages, including but not limited to: loss of profit, loss of data, loss of customers, business interruption, loss of business opportunity, reputational damage or any other consequential damage. This exclusion does not apply in cases of gross negligence or willful misconduct.

14.3 Specific exclusions

Blaiz expressly disclaims any liability for:

  • Errors, inaccuracies or hallucinations produced by artificial intelligence models
  • Consequences of incorrect classification of emails, documents or data by AI Agents
  • Erroneous notifications, incorrectly executed actions or unwanted modifications in third-party services
  • Outages, interruptions or malfunctions of third-party services (Gmail, Outlook, Notion, Slack, HubSpot, etc.)

14.4 Duty to mitigate damages

The User undertakes to take all reasonable measures to mitigate any damages they may suffer from using the Service, including actively supervising their AI Agents and deactivating any Agent whose operation is defective.

Article 15 — Indemnification

The User agrees to indemnify and hold harmless Blaiz, its officers, employees and partners against any claim, action, damage, loss or expense (including reasonable attorney fees) arising from or related to: (a) the User's non-compliant use of the Service, (b) breach of these TOU, (c) infringement of any third-party right, or (d) unlawful processing of data by the User's AI Agents.

Article 16 — Modification of terms

Blaiz reserves the right to modify these TOU at any time. The User will be notified of any material modification by email at least thirty (30) days before the new terms take effect.

Continued use of the Service after the modifications take effect constitutes acceptance of the new TOU. If the User refuses the modifications, they may terminate their Account in accordance with Article 17.

Article 17 — Termination and suspension

The User may terminate their Account at any time by contacting support or from their dashboard. Termination results in the loss of any remaining unused credits.

Blaiz may suspend or restrict access to the Service in the event of breach of these TOU, misuse of the Service or risk to infrastructure security.

In the event of serious misconduct (breach of Articles 9 or 10, security breach, fraud), Blaiz may terminate the Account with immediate effect, without notice or compensation.

Upon termination, the User's Data is retained for thirty (30) days, then permanently deleted. The User may request an export of their Data in a structured and machine-readable format (JSON or CSV) during this period.

Article 18 — General provisions

  • Force majeure: Blaiz shall not be held liable for failure to perform its obligations in the event of force majeure within the meaning of Article 1218 of the French Civil Code.
  • Severability: If any provision of these TOU is declared null or unenforceable, the remaining provisions shall remain in force.
  • No waiver: Blaiz's failure to exercise a right under these TOU shall not constitute a waiver of that right.
  • Entire agreement: These TOU, together with the TOS and the Privacy Policy, constitute the entire agreement between the parties.
  • Assignment: The User may not assign their rights and obligations under these TOU without the prior written consent of Blaiz.
  • Governing law: These TOU are governed by French law.
  • Jurisdiction: In the event of a dispute, and failing amicable resolution, the courts of Bordeaux shall have exclusive jurisdiction.
